These Terms of Use ("Terms") govern access to and use of CareCo.ai (the "Site") operated by CareCo Technologies Corp. ("CareCo", "we", "us"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the public marketing website only. Use of our product platform (app.careco.ai) is governed by separate written agreements between CareCo and our customers.

1. Eligibility

The Site is intended for use by professionals evaluating CareCo's software in a business capacity. You must be at least 16 years old to use the Site. By using the Site, you represent that you meet this requirement and that any information you provide is accurate.

2. Not medical advice; no patient services

CareCo.ai contains general information about our software and is intended for healthcare administrators and professionals. Nothing on this Site is medical advice. The Site does not provide patient services, does not collect protected health information, and is not a substitute for professional medical judgment. Patients should consult a qualified clinician for medical questions.

3. Acceptable use

You agree not to:

Use the Site in any unlawful manner or for any unlawful purpose.
Attempt to gain unauthorized access to the Site, related systems, or any account or data.
Probe, scan, or test the vulnerability of the Site or any network without our prior written authorization.
Interfere with or disrupt the Site, including by transmitting viruses, malware, or other harmful code.
Use any automated means (bots, scrapers, harvesters) to access or extract content from the Site, except for well-behaved search-engine crawlers obeying robots.txt.
Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent applicable law expressly permits.
Misrepresent your identity or affiliation with any person or organization.
Submit content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.

4. Intellectual property

The Site and all of its content — including text, graphics, logos, images, audio, video, software, and the selection and arrangement thereof — are owned by CareCo or its licensors and are protected by United States and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business evaluation of CareCo. No other rights are granted.

"CareCo" and the CareCo logo are trademarks or registered trademarks of CareCo Technologies Corp. Other names and logos may be trademarks of their respective owners.

5. Feedback

If you submit ideas, suggestions, or feedback to us about the Site or our products, you grant CareCo a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that feedback for any purpose without obligation or attribution.

6. Third-party links

The Site may contain links to third-party websites and services. We are not responsible for the content, policies, or practices of any third party, and inclusion of a link does not imply endorsement.

7. Privacy

Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, CareCo disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted or error-free operation. CareCo does not warrant that defects will be corrected or that the Site is free of viruses or other harmful components.

9. Limitation of liability

To the maximum extent permitted by law, in no event will CareCo, its affiliates, or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if CareCo has been advised of the possibility of such damages.

CareCo's total cumulative liability arising out of or relating to these Terms or your use of the Site will not exceed one hundred US dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless CareCo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of another.

11. Modification of the Site and Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. The "Last updated" date above indicates the current version. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Site.

12. Termination

We may terminate or suspend your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — survive.

13. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to §14, the exclusive venue for any action not subject to arbitration is the state and federal courts located in Luzerne County, Pennsylvania, and you consent to the jurisdiction of those courts.

14. Dispute resolution; arbitration

Most disputes can be resolved informally. Before filing a claim, you agree to contact us at legal@careco.ai and try in good faith to resolve the dispute for at least 30 days.

If we cannot resolve a dispute through informal negotiation, both parties agree to resolve any dispute arising out of or relating to these Terms or the Site by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, in Luzerne County, Pennsylvania, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. Any arbitration or court proceeding will be conducted only on an individual basis. You and CareCo each waive the right to participate in a class action, class arbitration, or representative proceeding.

Notwithstanding the foregoing, either party may bring an action in court for injunctive or other equitable relief relating to intellectual property, confidentiality, or unauthorized access to the Site.

15. Export controls

You may not access or use the Site if you are located in, under the control of, or a national or resident of any country subject to comprehensive US sanctions, or if you are on any US government list of restricted parties.

16. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CareCo regarding the Site.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Severability. If any provision is unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
No third-party beneficiaries. These Terms create no third-party beneficiary rights.
